Terms of Service

Who these Terms cover

The Services are built for small residential-contracting businesses. In these Terms:

• "Business," "you," or "your" means the contracting business that registers for a Buildelio account, and any of its owners, employees, or office staff who use the Services on its behalf.
• "Customer" means a homeowner or other third party who calls, texts, or otherwise communicates with a Business through a Buildelio-provisioned phone number, or who receives a message, quote, or invoice sent through the Services.

Customers are not parties to these Terms. Your relationship with your Customers, and your responsibility for it, is described in Sections 6 and 7.

Eligibility and accounts

You must be at least 18 years old and authorized to bind your Business to these Terms. You agree to provide accurate registration information, to keep it current, and to keep your login credentials confidential. You are responsible for all activity under your account, including activity by your staff and office-partner users. Notify us promptly of any unauthorized use.

The Services

Buildelio is a messaging-first business assistant. Depending on your plan and configuration, the Services may:

• answer missed calls to your Buildelio number with an automated text and continue an SMS conversation with your Customer;
• use artificial intelligence to classify inbound messages, extract job details, and draft replies, quotes, change orders, and invoices for your review;
• create and organize jobs, quotes, invoices, and payment records;
• send estimates and change orders by text, send invoices by text, email, or physical mail, and collect deposits and payments through a third-party payment processor; and
• surface passively-computed metrics about your business.

Human-in-the-loop. Anything with a price, a promise, or a legal implication is presented to you as a draft and is not sent, and no payment is requested, until a human at your Business approves it. You are responsible for reviewing drafts before they are sent.

We may add, change, or discontinue features. We will use reasonable efforts to give notice of material changes that reduce core functionality.

AI outputs, estimates, and drafts are not professional advice or guarantees

The Services use AI models to generate drafts and estimates. AI output can be incomplete, inaccurate, or unsuitable, and you must review it before relying on or sending it. In particular:

• AI pricing suggestions are not your estimate. Any pricing range or suggested figure the Services generate is AI-assisted, based on the inputs available, and is not a guaranteed price, an appraisal, or professional advice. It becomes an estimate only when you review it, set your own prices, and send it. You set your own prices.
• Estimates, change orders, and invoices are yours. When you approve and send an estimate, change order, or invoice, it is issued by your Business, reflects your judgment, and creates obligations between you and your Customer — an estimate you send states a firm price for the period shown on it. Buildelio is not a party to it and does not guarantee, warrant, or insure the work, the pricing, or payment.
• You remain the licensed professional. The Services do not perform contracting work, provide code/permitting/lien advice, or replace your professional obligations.

Fees, subscriptions, and payment processing

Subscription fees. Paid plans are billed in advance on a recurring basis at the rates and cadence shown at sign-up or in your account. Plans differ by business size. Unless required by law or expressly stated, fees are non-refundable. We may change fees on prospective notice; changes take effect at your next renewal.

Trials and cancellation. Free trials are as described at sign-up. You may cancel by emailing legal@psglabs.io or through your account where available; cancellation takes effect at the end of your current billing period. We do not use retention dark patterns.

Payment processing. Payments you collect from your Customers, and your subscription payments, are processed by Stripe, Inc. and are subject to Stripe's terms, including the Stripe Connected Account Agreement. To collect Customer payments you must onboard a Stripe connected account and provide accurate information. Buildelio does not store full payment-card numbers. Buildelio facilitates payments between you and your Customers and is not a bank, money transmitter, or party to the underlying transaction; funds settle to your connected account subject to Stripe's terms. Platform fees and payment-processing fees are as disclosed to you; you are responsible for all taxes on your transactions.

Your responsibilities and acceptable use

You are solely responsible for how you use the Services with your Customers, and for your compliance with all laws that apply to your business and communications. You agree that you will not, and will not allow anyone using your account to:

• use the Services to send messages without a lawful basis or required consent, or in violation of the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, CAN-SPAM, state telemarketing/"mini-TCPA" laws, or wireless-carrier and CTIA messaging rules;
• send messages that are unlawful, deceptive, harassing, or that promote prohibited content (including the categories carriers prohibit, such as illegal substances, hate, or fraud);
• misrepresent your identity or your relationship with a Customer, or import contacts you do not have a lawful basis to message;
• use the Services to provide regulated professional advice we do not offer, or in a way that requires a license you do not hold;
• interfere with, scrape, reverse engineer, overload, or attempt to gain unauthorized access to the Services; or
• use the Services to build a competing product or to train a competing model.

You are the sender of record for the messages your Business initiates or approves. You represent that you have obtained and will maintain any consent required to contact your Customers, and that you will honor opt-out requests. Buildelio provides tools to help with consent capture, opt-out handling, quiet hours, and message classification, but those tools do not transfer your legal responsibility to comply.

Messaging and telephony

The Services send and receive SMS/MMS and place and receive calls through Twilio Inc. and wireless carriers. You acknowledge:

• Message and data rates may apply to you and your Customers, and message delivery depends on carriers and devices that are outside our control. We do not guarantee that any message will be delivered, delivered on time, or delivered without error.
• Opt-out and help. Recipients can reply STOP to opt out of a program, START to re-join, and HELP for help; keyword confirmations may be delivered by our messaging provider on our behalf. We honor STOP globally and promptly; you must not attempt to circumvent opt-outs.
• A2P registration. Business-to-consumer messaging requires carrier ("A2P 10DLC") registration. You agree to provide truthful registration information and to keep your messaging use consistent with your registered use case.
• Recording and transcription. The Services may record voicemail and transcribe voice content to provide the Services. You are responsible for any notice or consent your jurisdiction requires for recording, and for informing your Customers as needed.

Customer data and privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms. As between you and Buildelio, you are responsible for the lawfulness of the Customer information you bring into or generate through the Services and for providing your Customers any notices your relationship with them requires. Buildelio processes Customer personal information to provide the Services to you and as described in the Privacy Policy.

Your content and license

You and your Customers may submit content to the Services (for example, messages, photos, voice notes, business and job details) ("Content"). As between you and us, you retain your rights in your Content. You grant Buildelio a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and adapt the Content solely to operate, secure, support, and improve the Services for you and to comply with law. We do not sell your Content, and we do not use your or your Customers' communications Content to train our own or third parties' foundational AI models; the commercial API terms of our AI vendors prohibit training on the data we send them by default.

Intellectual property

The Services, including all software, models, designs, text, and trademarks (including the Buildelio name and logo), are owned by Buildelio or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services during your subscription, subject to these Terms. All rights not expressly granted are reserved. If you give us feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

Third-party services

The Services rely on and interoperate with third parties (for example, Twilio, Stripe, and our infrastructure and AI providers listed in the Privacy Policy). Your use of those services through Buildelio may be subject to their terms, and we are not responsible for third-party services, their availability, or their acts or omissions.

Term, suspension, and termination

These Terms apply while you use the Services. You may stop using the Services and cancel at any time as described in Section 5. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required to protect the Services or third parties, if your use creates legal or compliance risk (including messaging-compliance risk), or if you fail to pay. On termination, your license ends and we may delete or de-identify your data after a reasonable retention period, subject to the Privacy Policy and law. Sections that by their nature should survive (including 4, 8–10, 13–17, and 19) survive termination.

Disclaimers

THE SERVICES AND ALL AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE, OR THAT MESSAGES OR PAYMENTS WILL BE DELIVERED OR PROCESSED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDELIO AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. BUILDELIO'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID BUILDELIO FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS ARE AN AGREED ALLOCATION OF RISK AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Indemnification

You will defend, indemnify, and hold harmless Buildelio and its owners, employees, and suppliers from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your Content and your Customer relationships; (c) messages, calls, quotes, invoices, or work you send, approve, or perform; (d) your violation of these Terms or of any law, including messaging, telemarketing, consumer-protection, privacy, or contracting laws; or (e) your infringement of any third-party right.

Messaging-compliance allocation

Because you control who you message and why, you are the party responsible under the TCPA and related laws for the messages your Business initiates or approves through the Services, and your indemnity in Section 15 expressly covers claims arising from those messages. Buildelio's compliance tooling is provided to assist you and does not make Buildelio the sender of, or responsible for, your messaging decisions.

Governing law and dispute resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. The parties will first try to resolve any dispute informally. Any dispute not resolved informally will be resolved by binding individual arbitration administered by a recognized arbitration provider under its consumer/commercial rules, seated in Stark County, Ohio, except that either party may bring an individual claim in small-claims court and either party may seek injunctive relief for intellectual-property or unauthorized-access claims. To the extent permitted by law, the parties waive any right to a jury trial and to participate in a class or representative action. If any part of this Section is unenforceable, the rest remains in effect, except that if the class-action waiver is unenforceable as to a claim, that claim proceeds in court.

Changes to these Terms

We may update these Terms. If we make material changes, we will provide notice (for example, by email or in the Services) before they take effect. Your continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Services.

General

These Terms, the Privacy Policy, and any order or plan terms are the entire agreement between you and Buildelio about the Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing here creates a partnership, agency, or employment relationship. Notices to you may be sent to your account email; notices to us must be sent to legal@psglabs.io.
